1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ClearChartAI platform and related services (the "Service") operated by ClearChartAI, Inc. ("ClearChartAI," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree, you may not use the Service.

You must be at least 18 years old to use the Service.

2. Description of the Service

ClearChartAI provides a digital platform that enables users to:

  • Request and retrieve copies of their medical records from third-party healthcare providers;
  • Organize and view longitudinal health information;
  • Receive automated summaries, pattern analysis, and educational insights generated using artificial intelligence systems; and
  • Identify potential inconsistencies, duplications, or possible medication interactions based on user-authorized health records;
  • Share health information with family members or caregivers you designate; and
  • Interact with a voice health assistant for health-related questions.

ClearChartAI does not provide healthcare services.

3. No Medical Advice

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE.

ClearChartAI is not a healthcare provider and does not provide medical advice, diagnosis, or treatment.

All information generated by the Service, including summaries, pattern detection, medication interaction identification, and responses to health-related questions, is provided for informational and educational purposes only.

You agree not to rely on the Service as a substitute for professional medical judgment.

Always seek the advice of a qualified healthcare provider regarding any medical condition or treatment decision.

4. Artificial Intelligence and Automated Interpretation

Portions of the Service use Google Gemini, a family of large language models provided by Google Cloud, to generate insights based on user-provided information and user-authorized health records. Your data is processed under our Business Associate Agreement with Google Cloud and is not used by Google to train its general AI models.

These outputs:

  • Are not reviewed by licensed healthcare professionals;
  • May contain inaccuracies, omissions, or errors;
  • May not reflect the most current clinical standards; and
  • Should not be interpreted as individualized medical advice.

You acknowledge that you are solely responsible for verifying information with qualified healthcare professionals before making health decisions.

When using the voice health assistant, audio is processed in real time and is not recorded or stored.

5. Identification of Potential Issues

The Service may identify:

  • Elevated laboratory values;
  • Repeated measurements outside documented target ranges;
  • Potential medication interactions;
  • Possible gaps or inconsistencies across providers; or
  • Other patterns within your health data.

Such identification:

  • Does not constitute a diagnosis;
  • Does not determine that treatment is required;
  • Does not recommend starting, stopping, or modifying any medication; and
  • Is intended solely to assist you in discussions with licensed healthcare professionals.

6. Medication Information

The Service may provide general educational information regarding medication classes, examples of medications commonly used in medical practice, and publicly available clinical guidelines.

ClearChartAI does not:

  • Recommend specific prescription medications;
  • Determine which medication is appropriate for you;
  • Suggest dosage adjustments; or
  • Provide instructions to start, stop, or modify treatment.

Only licensed healthcare providers may prescribe or adjust medications.

7. Emergency Use Disclaimer

The Service is not intended for use in medical emergencies. If you are experiencing symptoms such as chest pain, severe shortness of breath, signs of stroke, severe allergic reaction, suicidal thoughts, or other urgent medical concerns, call 911 or seek immediate medical attention.

ClearChartAI does not monitor users in real time and does not guarantee emergency detection.

8. User Authorization to Retrieve Records

By using the Service, you authorize ClearChartAI to request and receive copies of your health records from healthcare providers and related entities on your behalf.

ClearChartAI does not control the accuracy, completeness, or timeliness of records provided by third parties and does not guarantee successful retrieval of all requested records.

9. Third-Party Services

The Service relies on third-party providers to deliver its functionality. By using the Service, you acknowledge that your data may be processed by:

  • Google Cloud Platform — Cloud infrastructure, data storage, AI processing (Google Gemini), authentication, and voice services. Governed by a signed HIPAA Business Associate Agreement.
  • Persona — Identity verification. Receives government-issued ID and selfie data to confirm your identity before medical record retrieval.
  • CommonWell Health Alliance — A nationwide health data network used to locate and retrieve your medical records from participating healthcare providers at your direction.

Each third-party provider operates under its own terms and privacy policies. ClearChartAI maintains appropriate data processing agreements with each provider. For details on data shared with each provider, see our Privacy Policy.

10. User Responsibilities

You agree to:

  • Provide accurate and complete information;
  • Maintain the confidentiality of your account credentials;
  • Use the Service only for lawful purposes;
  • Only access or request records you are legally authorized to access;
  • Not rely solely on the Service when making medical decisions.

You are responsible for all activity occurring under your account.

11. Service Availability

The Service is provided "as is" and "as available."

ClearChartAI does not guarantee uninterrupted access, specific response times, or error-free operation.

We may modify, suspend, or discontinue features at any time.

12. Fees

The Service is currently offered at no cost.

ClearChartAI reserves the right to introduce subscription plans or fees in the future. You will be notified before any charges apply.

13. Audit and Logging

To improve safety, reliability, and compliance, ClearChartAI may log user interactions, inputs, and generated outputs.

Such logging is governed by our Privacy Policy.

14. Intellectual Property

All intellectual property rights in the Service, including software, code, designs, trademarks, text, images, and other materials, belong to ClearChartAI, Inc. or its licensors. Unauthorized copying, distribution, modification, or creation of derivative works is prohibited.

You retain ownership of medical records and other content you submit. By uploading content, you grant ClearChartAI a limited, non-exclusive license to store, process, analyze, and use your content solely for the purpose of operating the Service.

ClearChartAI does not use identifiable PHI to train public AI models.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, CLEARCHARTAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Service may contain errors or inaccuracies.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARCHARTAI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) $100, OR (B) THE TOTAL AMOUNT PAID BY YOU TO CLEARCHARTAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL CLEARCHARTAI BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

17. Indemnification

You agree to indemnify and hold harmless ClearChartAI from claims arising from:

  • Your misuse of the Service;
  • Your violation of these Terms; or
  • Your unauthorized access to third-party data.

18. Arbitration and Class Action Waiver

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Delaware unless otherwise required by law.

You waive the right to participate in class, collective, or representative actions.

You may opt out of arbitration within thirty (30) days of creating your account by contacting team@clearchartai.io.

19. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles.

20. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect personal information, including Protected Health Information.

21. Changes to Terms

ClearChartAI may revise these Terms at any time. Material updates will be communicated through email or within the Service. Continued use after changes constitutes acceptance.

22. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
